Legal Services for Alberta Business Owners and Their Families

For most of our clients, there is no clean line between the business and the estate. The shares are the largest asset either way. A shareholder agreement that says one thing and a Will that says another is not two documents. We work across both: the corporate structure that runs the business today, and the plan that decides what happens to it later.

Corporate & Commercial

Structure the business properly the first time. Restructure it deliberately when it grows.

Alberta's business environment rewards owners who build on solid legal foundations and creates expensive problems for those who don't. The share structure you incorporate with shapes your tax planning options for a decade. The agreement you don't sign with your partner is the one you'll litigate.

Incorporation

Alberta BCA incorporations, articles, share structure and class design, organizational minutes

Corporate reorganizations and estate freezes

s.85 rollovers, share exchanges, new share classes, family trust integration, Corporate Registry filings

Shareholder and unanimous shareholder agreements

transfer restrictions, shotgun and buy-sell mechanisms, death and incapacity provisions

Business acquisitions and sales

share vs. asset structuring, LOIs, purchase agreements, due diligence, vendor financing

Commercial agreements

service and consulting contracts, joint ventures, lease review, NDAs

Land and development acquisitions

Corporate & Commercial

Reorganization work requires close coordination with your accountant. The accountant designs the tax strategy; we implement the legal structure. If your accountant has recommended a freeze, we can take it from there.

Estate & Succession Planning

The plan for the shares is the plan for the family.

Estate & Succession Planning

If you own a corporation, a standard Will is not an estate plan. Your executor will inherit a control block in an operating company, a set of tax consequences triggered on the date of death, and a shareholder agreement that may override the Will entirely.

We build estate plans that account for how the wealth is actually held:

Wills

including provisions for corporate interests, multiple wills where appropriate, and coordination with existing shareholder agreements

Enduring Powers of Attorney

who signs for the corporation if you're in a hospital bed for six weeks, not only if you die

Personal Directives

healthcare and personal care decisions, documented before a crisis forces them

Trusts

family trust deeds, trustee obligations, integration with corporate share structure

Estate freezes and corporate purification

capping capital gains at today's value, passing future growth to the next generation, and cleaning up passive assets to preserve the lifetime capital gains exemption on a future sale

This work sits between two practice areas. It is where a plan usually breaks — the lawyer drafts the Will without seeing the corporate structure, or the accountant designs the freeze and nobody documents it correctly. We do both sides.

Estate Administration

Probate & Estate Administration

When a parent, a spouse, or a business partner dies, the executor inherits a legal obligation most people have never carried before — and can be held personally liable for getting it wrong.

We guide executors and administrators through Alberta probate from the first meeting to closing the estate: assessing whether probate is required, preparing Grant of Probate or Grant of Administration applications for the Court of King's Bench, dealing with financial institutions, transferring real property, and coordinating with your accountant on terminal returns and CRA clearance.

Where the estate holds shares in a private corporation, the administration is a corporate matter as much as an estate one. That is work we do routinely.
